General Terms of Agreement

Precise Virtual Development (www.precisev.com) will design the web site/e-commerce site/CD-Rom Presentation/Posters/Graphic Design/Brochures with the design concept agreed upon by the customer. Precise Virtual Development will prepare a draft of the project for approval before we continue on the project. Once the customer gives the approval, we will use the text provided by the customer in an electronic format (Microsoft Word format).

Furthermore, the customer agrees to provide all logos, photos in a digital format. Precise Virtual Development will, design the web site, publish the web site to the ISP (Internet Service Provider) of customer's choice. It is the responsibility of the customer to ensure that the Internet Service Provider has all the required server extensions configured for Macromedia Flash 5.0 /MX, Macromedia Dreamweaver MX and Adobe Golive 6.0 We will make reasonable effort to resolve any incompatibilities with your ISP of choice.

As soon as the web site design is completed, we will publish the site to our web site (precisev.com), so that the customer can view the page and make request for changes. Once the final approval is granted by the customer and all payments are made by the customer, the web site will be published to the web server with your own domain name.

Once the web site is published to the web server of customer's choice, if any changes are made to the web site by any person or company, other than employees of Precise Virtual Development, we will not be responsible for any damages. In such event, Precise Virtual Development will repair the web site and will bill you at our normal rate per hour. The invoice is payable upon receipt.

All images, backgrounds and all contents of web site are the property of Precise Virtual Development until full payment is made for the work performed by Precise Virtual Development. All images and backgrounds will contain Precise Virtual Development watermarks on the all areas of the web site until all payments are made.

Furthermore, it should be noted that, the customer would provide the domain name and the content. The customer agrees to give permission to Precise Virtual Development to use all content to the end of developing the web site. Moreover, the customer agrees to assume all legal responsibility for the content of the web site and agree to hold harmless Precise Virtual Development and any of it's duly assigned employees, agents and/or subcontractors.

When we complete the project, at our discretion we may add your domain name to our portfolio on our web site with a link, thereby creating additional traffic to your web site and you agree to include our company name with a link in your web site as the designers.

Fees

Precise Virtual Development and you will agree on the cost before we start on the project. 75% of this amount is required before we start on the project. As soon as we receive the 75% of the total charge and all required text in an electronic format, logos and any other material required to design the web site, the site will be completed within the agreed time frame. The balance of the payment is required as soon as the project is completed. Once the web site is completed, if modifications are necessary, Precise Virtual Development will bill you at our normal rate per hour. The invoice is payable upon receipt.

Maintenance Contract or Block Time Contract

We will undertake to do maintenance of the web sites we create at a price agreed upon. The maintenance contract will cover only the updates and changes in the content of the existing web site. Any structural and design changes are not included in the maintenance contract.

The customer may purchase a Block Time Contract at reduced rate, provided they buy a certain amount of hours in advance. These hours will not expire and could used by a related company.

24 hour 7 days a week support is also available. We charge a standard stand-by charge per day (in addition to the maintenance contract or block time contract), paid yearly in advance. Our private mobile phone number will be given to the main contact of the customer.

We will monitor the expiry dates of domain name of the web site and report to the customer. Customer agrees to pay for the annual subscription of the domain name to Network Solutions or other Domain Provider

If the customer decides to change the web hosting company, we will perform the functions that are necessary to complete the project. (Limited to once a year)

Search Engine Registration

We will register the customer?s domain name in search engines and customer?s specific trade web sites. We will also prepare Meta tags suggested by the customer. We will help the customer to make those decisions. After successfully submitting a web site to a search engine, directory or link page it is the responsibility of those pages to add your site. The major search engines, such as Google, Yahoo, AOL search and MSN will send a "spider" to your site within a few weeks of submission. That spider will read and index your web site and then schedule your site to be listed. The amount of time to get added to the major search engines varies almost daily and depends on several factors. In general, you can expect a delay period of 3 to 6 months before your site will appear on any major search engines, and at least 3 months for other search engines. In some cases, the wait will be longer, and your site might not appear at all. A successful submission by Precise Virtual Development is any submission that either our automatic submission software sees as successful or for which a "successful submission" display appears from any major search engine. The fact that a submission is successful does not mean that your web site will be added to a search engine. Search engines may reject a site for any number of reasons, including, but not limited to, site history and "spamming" techniques on the page. In the case of those search engines, directories, and link pages that review the sites submitted to them, it is purely at the site owner's or reviewer's discretion whether or not a site is added. Every search engine, directory, and link page to which Precise Virtual Development submits reserves the right to include or reject any site submitted to it and is not obligated to give a reason for rejecting a site. Additionally, some search engines charge a fee to guarantee a high ranking in their search engine. Customer agrees to pay the cost for the registration in search engines, trade web sites and other publications that require a fee.

Business Class Web Hosting

Payment
Whether your billing cycle is quarterly, semi-annually, or annually your bill will automatically recur on the 1st day of the month unless you provide Precise Virtual Development with written, electronic mail or faxed notice of termination. (see Canceling Your Account) If you have billing questions, please submit a ticket to us using the online ticket system found in your control panel.

In the event that your account is deactivated due to nonpayment, please review your account online for the overdue amount. Your payment must include the $25.00 late fee for your account(s) to be reactivated. You may fax credit card information to Precise Virtual Development by completing and printing the reactivation form or you may send us a money order via your preferred overnight courier.

Collection Procedures
If your account becomes overdue after the due date you will receive a reminder via email that we have not received your payment. If payment is not received within 5 business days of the due date you may experience an interruption in service (FTP and other services). Your account will then be turned over to our collection department and a reinstatement fee of $25 will be assessed to your account.

If you fail to pay for services rendered, when your account becomes more than 60 days past due your data will be purged from our servers and we will attempt to collect any delinquent balances. Delinquent accounts may be forwarded to an outside collection agency if any balance are 90 days overdue. In the event of collection enforcement, you will be liable for any costs associated with such collection, including, without limitation, reasonable attorneys' fees, and court costs in addtion to a 1.5% daily finance charge.

Cancellation / Termination of Your Account
In the event that you are not satisfied with our services, you may cancel within the first 30 days of services with written, electronic mail or faxed notice of termination. All hosting prepayment fees will be refunded, excluding setup fees, within 60 days.

In the event that you wish to terminate early your quarterly, semi-annually, or annual hosting services after the first 30 days within the first contractual year, you may cancel with a written, or faxed notice of cancellation. Any waived setup fees may be forfeited and deemed payable along with the remainder of any quarterly, semi-annually, or annually contracted services. Monthly service  agreements will remain active until the 27th day of the month in which you have requested cancllation. Plan requests received after the 27th of the month will be processed on the 27th of the following month.

In the event that your account is terminated by Precise Virtual Development after the first 30 days of service, for AUP violations, non-payment, or illegal activity, Precise Virtual Development reserves the right to collect the remainder of any quarterly, semi-annually, or annually contracted services. In the event of delinquent accounts 90 days or more past due, any previously waived setup fees may be forfeited and deemed payable. Addtionally, you will be liable for any costs associated with such collection, including, without limitation, reasonable attorneys' fees, collection agency fees, and court costs in addition to a 1.5% daily finance charge.
